These Terms and Conditions (“Terms”) govern your access to and use of the MuniGrowth platform (“Service”) operated by MuniGrowth (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptable Use

You agree to use MuniGrowth only for lawful purposes related to local economic development planning, project management, and grant discovery. You shall not:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to other users' accounts or data
Upload malicious files, viruses, or harmful content
Interfere with the proper functioning of the Service
Share your account credentials with unauthorized individuals
Use the Service to collect, harvest, or store personal data of others without consent
Reverse engineer, decompile, or disassemble any aspect of the Service
Use automated tools or bots to access the Service without prior written consent

2. Account Registration

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

Maintaining the security of your account credentials
All activities that occur under your account
Promptly notifying us of any unauthorized access
Ensuring your organization's users comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for more than 12 months on the Free plan.

3. Subscription Terms

3.1 Plans and Billing

MuniGrowth offers Free, Municipality Pro, Regional Authority, and Donor License plans
Paid plans are billed monthly or annually via Stripe
Prices are in USD and exclusive of applicable taxes
We reserve the right to modify pricing with 30 days' notice

3.2 Free Trials

Paid plans include a 14-day free trial
No credit card is required for the trial period
Trial accounts automatically downgrade to Free plan if not upgraded

3.3 Renewals and Cancellation

Subscriptions automatically renew unless cancelled before the renewal date
You may cancel at any time from your account settings
Cancellation takes effect at the end of the current billing period
No partial refunds are provided for unused portions of billing periods
A 30-day data export grace period is provided after cancellation

3.4 Upgrades and Downgrades

Upgrades take effect immediately with prorated billing
Downgrades take effect at the end of the current billing period
Data exceeding the new plan's limits must be managed before downgrade

4. Intellectual Property

4.1 Your Content

You retain all rights to the content, data, and documents you create or upload to MuniGrowth. By using the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

4.2 Our Platform

The MuniGrowth platform, including its design, code, features, documentation, and branding, is our intellectual property. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent.

4.3 Feedback

Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.

5. Data Processing

We process your data in accordance with our Privacy Policy
Each organization's data is logically isolated in a multi-tenant architecture
We implement appropriate technical and organizational security measures
We will enter into Data Processing Agreements (DPAs) upon request
Data is stored and processed in compliance with applicable data protection laws

6. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided “as is” and “as available” without warranties of any kind
We do not guarantee uninterrupted, error-free, or secure access to the Service
We are not liable for any indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
We are not responsible for the accuracy or completeness of grant information, funding opportunities, or compatibility scores provided by the platform
We are not liable for any decisions made based on data, analytics, or recommendations provided by the Service

7. Service Availability

We target 99.9% uptime for paid plans (SLA available for Donor License)
Scheduled maintenance windows will be communicated 48 hours in advance
We reserve the right to modify, suspend, or discontinue features with reasonable notice
Emergency maintenance may be performed without prior notice to address security issues

8. Termination

8.1 By You

You may terminate your account at any time by contacting support or using the account settings. Upon termination, you will have 30 days to export your data.

8.2 By Us

We may suspend or terminate your account if:

You breach these Terms
Your use of the Service poses a security risk
Required by law or regulation
Your account has been inactive for more than 12 months (Free plan only)

We will provide reasonable notice before termination except in cases of security threats or legal requirements.

9. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in Beirut, Lebanon, and shall be conducted in English.

10. General Provisions

Governing Law: These Terms are governed by the laws of Lebanon
Severability: If any provision is found unenforceable, the remaining provisions continue in effect
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement
Amendments: We may update these Terms with 30 days' notice via email and platform notification
Assignment: You may not assign your rights under these Terms without our consent
